Use of the website

By accessing this website you agree to use it for lawful purposes and in a way that does not infringe on anyone's rights or restrict their use of the site.

Services & engagements

Specific deliverables, timelines, fees and scope are defined in a signed proposal or statement of work. These Terms apply broadly; the proposal governs the specifics of any engagement.

Software development scope

All software, web application and integration work is provided based on the agreed scope. Material changes to scope may impact timelines and fees and will be confirmed in writing before execution.

Third-party services & outages

Many solutions depend on third-party services (hosting, payment processors, email delivery, mapping, integrations, etc.). We are not responsible for outages, deprecations or changes in third-party platforms that are beyond our reasonable control.

Timelines

Estimated timelines are provided in good faith. Delivery depends on client responsiveness, content/asset delivery, approvals and third-party availability. We commit to keeping clients informed if timelines shift.

Intellectual property

Final deliverables become the property of the client upon full payment, excluding pre-existing tools, frameworks, libraries and templates that remain our property. We may showcase delivered work in our portfolio unless otherwise agreed in writing.

Client responsibilities

Clients agree to provide timely feedback, content, approvals, access to necessary accounts, and payment per the agreed schedule. Delays in these areas may impact project timelines.

Consultations

Free consultations are provided for general scoping purposes. They do not constitute a binding engagement, deliverable or commitment until a proposal is signed.

Payments

Projects typically require a deposit before work begins. Remaining payments follow the schedule defined in the proposal. Late payments may pause delivery until resolved.

Project changes

Change requests outside of the agreed scope are accommodated based on availability and may require additional fees and timeline adjustments, confirmed in writing before work continues.

Limitation of liability

To the maximum extent permitted by applicable Canadian law, our total liability arising from any engagement is limited to the amount paid by the client for the specific work giving rise to the claim.

Governing law

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein.
